Investor Relations
Bank of Palestine was established in 1960. Its shares were listed on the Palestine Exchange in 2005.
The Bank’s head office is located in Ain Misbah, Nazlet Al-Mahkama, Ramallah.
The Bank’s authorized share capital is USD 350 million, while its subscribed share capital is USD 279,537,510.

The trading currency is US dollars. Each share has a nominal value of USD 1.
The nominal value is the value assigned to a share when it is issued. The market value is the price at which the share trades on the exchange, determined by supply and demand.
By opening an account with a brokerage firm supervised by the Palestine Exchange and the Palestine Capital Market Authority. Share purchases and sales are then carried out through the brokerage firm.
You can obtain confirmation of your share ownership from the Palestine Exchange. Your broker can also provide an account statement showing the number of shares you hold.
The minimum number of shares that can be purchased is one share.

If dividends are declared, they are distributed following the General Assembly’s approval of the Board of Directors’ recommendation at the Annual General Meeting, after the Bank presents its business and financial results to shareholders.
The Bank generally distributes dividends annually, except in emergency situations or exceptional circumstances beyond its control.
Once dividend distribution is approved, bonus shares are credited to shareholders’ holdings through the Palestine Exchange.
Cash dividends are deposited into shareholders' bank accounts previously registered with the Bank, distributed through the Bank's branches nationwide, or disbursed by contacting the Investor Relations Department and submitting a dividend disbursement form along with proof of identity via the shareholder's registered email address.
A shareholder submits a request to the Investor Relations Department to register and validate their account details, either in person or via the Department's registered email address.
The shareholder’s heirs should submit a dividend distribution request to the Investor Relations Department, either directly or through the branch. The request must include:
- A duly certified death certificate.
- A duly certified certificate of inheritance issued by a competent judicial authority.
- Identification documents for the heirs.
The Department will then arrange for the dividends to be distributed to the heirs in accordance with the applicable procedures.
1- Annual General Meeting
The Board of Directors invites shareholders to an Annual General Meeting once a year. Shareholders may attend in person or appoint another shareholder as their proxy.
Shareholders receive an invitation, an agenda setting out the Board’s recommendations for approval, and the annual report for review. The meeting addresses ordinary business, including dividend distributions, presentation of the annual report, and appointment of the Bank’s external auditor.
Shareholders may vote on their own behalf and on behalf of shareholders who have appointed them as proxies. Voting rights are based on the number of shares each shareholder owns or represents. Voting takes place by a show of hands or another method determined by the chair of the meeting.
The meeting has a valid quorum when shareholders representing more than half of the Bank’s subscribed share capital are present. If a quorum is not reached, a second meeting is called within the period prescribed by law. A lower quorum applies to the second meeting, as provided for under the applicable Companies Law.
2- Extraordinary General Meeting
An Extraordinary General Meeting may be called to decide on matters such as:
- Increasing or reducing the Bank’s share capital.
- Amending the Bank’s articles of association.
- Merging with another company or dividing the company.
- Converting the company to another legal form.
- Dissolving and liquidating the company.
- Removing the Board of Directors or any of its members.
- Removing the company’s auditor.
- Issuing convertible bonds.
- Approving major transactions involving the acquisition or disposal of significant assets.
An Extraordinary General Meeting has a valid quorum when shareholders representing at least 50% of the company’s share capital are present. Resolutions require the approval of more than 75% of those present.
If a quorum is not reached at the first meeting, a second meeting is called with a reduced quorum in accordance with the applicable Companies Law.
